End User License Agreement (EULA)

Last Updated: April 10, 2026

Thank you for choosing Markkeep! This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and the Markkeep developers regarding the use of the Markkeep software ("Software"). By downloading, installing, or using the Software, you agree to be bound by the terms of this Agreement.

1. License Grant

Depending on the version you have acquired (Basic / Standard / Advanced), we grant you a non-exclusive, non-transferable, limited right to install and use the Software.

  • Basic Version: Provided free of charge for personal and commercial use, subject to certain feature limitations (e.g., limits on the scratchpad and quick notes).
  • Standard / Advanced Versions: Require a valid, purchased license key. Activation unlocks corresponding premium features. A lifetime license is valid for the major version of the software purchased, and grants you access to all minor updates within that major version.

2. 14-Day Right of Withdrawal

We understand your concerns when purchasing software. Therefore, we offer a 14-day money-back guarantee: within 14 calendar days from the date of your successful purchase of a Standard or Advanced license, if you are not satisfied with the software or change your mind, you may request a full refund unconditionally.

  • How to Apply: Please contact us via the support email provided on our website x@markkeep.com, and provide your proof of purchase and activation key.
  • Effect of Refund: Once the refund is processed, your activation key will be revoked, and the Software will revert to the free Basic version.

3. Restrictions

You may not, nor permit any third party to:

  1. Reverse Engineering and Cracking: Decompile, disassemble, modify, translate, crack the license verification mechanism, or attempt to extract the source code of the Software (including the Tauri and React-based frontend build artifacts).
  2. Redistribution: Rent, lease, lend, sell, sublicense, or distribute the Software or its license keys without authorization.
  3. Malicious Abuse: Use the Software for any illegal activities or activities that infringe upon the legitimate rights and interests of third parties.
  4. Content Legality: Use the Software to create, store, or distribute any content that violates applicable laws and regulations, infringes upon the intellectual property rights of others, or contains defamatory, obscene, or violent material.

4. Disclaimer of Warranties

AS-IS
The Software is provided on an "AS-IS" and "AS-AVAILABLE" basis, with all faults. We make no express or implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the operation of the Software will be uninterrupted or error-free, nor that all software defects will be corrected.

Data Loss Risk
Although the Software uses a "local-first" SQLite database architecture to maximize the protection of your data privacy, there is still a risk of data loss during software upgrades, system migrations, or unexpected bugs (e.g., database merge failures). You should regularly back up your important data yourself. We shall not be liable for any data loss, business interruption, or other incidental damages resulting from the use or inability to use the Software.

No Content Review (UGC Disclaimer)
Because the Software operates on a "local-first" architecture, all your data is stored locally on your device. We have neither the capability nor the obligation to review or monitor any user-generated content (UGC) you create, store, or distribute using the Software. You bear full responsibility for all content you generate and its legality, and the developers assume no liability for any legal disputes arising from your content.

Future Compatibility
The Software is provided based on the technological environment at the time of release. We do not guarantee that the Software will be compatible with future operating system updates, hardware changes, or third-party dependency libraries. If the Software fails to run due to user device system upgrades, we assume no obligation to repair it or provide a refund.

5. Limitation of Liability

To the maximum extent permitted by applicable law, regardless of the cause of damages (including but not limited to breach of contract, tort, or negligence), the developer's maximum liability for any direct, indirect, special, incidental, or punitive damages arising out of your use or inability to use the Software shall in no event exceed the amount you actually paid to purchase the Software (Standard/Advanced version). If you are using the free Basic version, our maximum liability is zero.

6. Other Terms

  • Feature Changes: We reserve the right to unilaterally modify, add, or remove feature limitations and version benefits in future updates.
  • Termination: This license will automatically terminate if you fail to comply with any term of this Agreement. Upon termination, you must destroy all copies of the Software.
  • Intellectual Property: The Software and all related intellectual property rights (including but not limited to code, UI design, trademarks) are owned by the Markkeep developers and are not sold to users. All rights not expressly granted in this Agreement are reserved by the developers.
  • Severability: If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the validity of the remaining provisions shall not be affected, and they shall remain in full force and effect.
  • Governing Law and Dispute Resolution: This Agreement shall be governed by the laws of the People's Republic of China. Any disputes arising out of or relating to this Agreement shall be submitted to the competent People's Court in Guiyang City, Guizhou Province, China for litigation.
  • Language Prevails: This Agreement may be provided in multiple languages. In the event of any discrepancies or conflicts between different language versions, the Simplified Chinese version shall prevail.
